Rhythm and Praise Radio L.A. is giving listeners an opportunity to host R & P Live! Rhythm and Praise Radio L.A.’s R & P Live!, is a premier one hour weekly show on Rhythm and Praise Radio L.A. powered by Dash Radio.

Rhythm and Praise Radio L.A. herein “Sponsor”. Starting Monday, March 1st, 2021, Sponsor will be accepting audio demo (mp3 format) submissions at RhythmandPraiseLA.com, Sponsors official website. Your audio should be no longer than 2 minutes long. R &P Live!, Gospel’s Next Radio Voice audio demo topics must be faith based- topic of your choice and include you herein (“Entrant”). Station listeners and Rhythm and Praise Radio L.A.’s curators ThoseBaxters and Emcee N.I.C.E. will select the best of the best and on the 15th of every month for 9 rounds a semi-finalist will be selected to host the following months R&P Live! Radio show for a total of (4) Four (1) one Hour Shows. Click here for each round’s open and close submissions deadlines. Entrant that is selected to host R&P Live!, may not enter any subsequent rounds. Entrants that are not selected may try again in subsequent rounds but must resubmit an audio demo.

Void where prohibited by law and outside the fifty (50) United States, the District of Columbia. Subject to all federal, state and local laws, regulations, and ordinances. Promotion for the competition begins on the following Rhythm and Praise Radio shows and affiliate platforms:

Each show listed above will adhere to the rule herein Rhythm and Praise Radio’s R & P Live! Gospel’s Next Radio Voice Competition via their show, business or platform. All subsequent terms are in addition to the Rhythm and Praise Radio L.A.’s R & P Live! Gospel’s Next Radio Voice Official Rules. All Partnering Show promotions will begin at or around Monday March 1st, 2021 at 1:00 AM Pacific Standard Time (“PST”) and end at or around 11:59 PM Pacific Standard Time (“PST”) on the 15th of the respective month.

Rhythm and Praise Radio L.A.’s headquarter computer is the official time keeping device for this Competition.

By participating, entrants agree these Official Rules, Partnering Show, Partnering Business, and to the Submission Agreement available at

http://RhythmandPraiseLA/submission-agreement on March 1st, 2021 (the “Submission Agreement”).

ELIGIBILITY: Rhythm and Praise Radio R & P Live! Gospel’s Next Radio Voice (the “Competition”) is open only to legal residents of the fifty (50) United States who are at least eighteen (18) years old as of the date of entry. If a person is at least eighteen (18) years old and is deemed a minor in his/her state/jurisdiction of primary residence, that person must have his/her parent’s/legal guardian’s permission to enter this Competition. Employees, officers, and directors of Rhythm and Praise Radio and or our sister station God’s House of Hip Hop (“Sponsor”) or its parents, affiliates, subsidiaries, representatives, consultants, contractors, legal counsel, and advertising, public relations, promotional, fulfillment, and marketing agencies, and members of their immediate families (spouses, parents, siblings and children, regardless of where they live) and those living in the same household (whether related or not) are not eligible to enter or win. Participation in the Competition constitutes entrant’s full and unconditional agreement to these Official Rules, the Submission Agreement and to Sponsor’s decisions, which are final and binding in all matters related to the Competition. Winning is contingent upon fulfilling all requirements set forth herein. Sponsor reserves the right to verify the eligibility of winners.

HOW TO ENTER: Eligible persons can enter through the following way:

VIA RHYTHM AND PRAISE RADIO L.A. OFFICIAL WEBSITE RhythmandPraiseLA.com ONLY. Eligible persons may enter via RhythmandPraiseLA.com beginning on at or near March 1st, 2021 at 1:00 AM PST and ending on March 14th, 2021 at 11:59 PM PST (the “Contest deadlines are listed online”) (TIMES AND DATES SUBJECT TO CHANGE). To enter via RhythmandPraiseLA.com you must be a follower/friend via social media on Sponsors social media outlets @RhythmandPraiseLA, #R&P Live!, @ThoseBaxters @EmceeNiceLA on Facebook/Instagram and Twitter. Through one or more of the Sponsor’s social media outlets and official website RhythmandPraiseLA.com, Sponsor will post the official invitation to participate in the Competition. Follow the instructions in the official invitation to submit an audio mp3 format (performed by you) which will be posted on Rhythm and Praise Radio L.A.’s SoundCloud account and linked to Sponsors official website for voting/like competition to take place. The audio demo must be no longer than (2) Two minutes and the mp3 must be properly labeled.

Rhythm and Praise Radio L.A. reserves the right to select fewer or more then 10 semi-finalists per round without notice.

All audio entries submitted in connection with the Competition must adhere to the following guidelines in order to be eligible:

Must adhere to any limitations/restrictions set forth above;
Must not contain vocals from any third party (each submitted/performed audio must contain vocals ONLY FROM THE ENTRANT(S);
Must be the entrant’s completely original work (modification of another party’s original work is not an original work), must not copy or otherwise plagiarize from any source, and must not use pre-existing music/samples and lyrics not owned by the entrant.
Must not contain material which is (or promote activities which are), as determined by Rhythm and Praise Radio L.A. in its sole discretion, hateful, slanderous, libelous, tortious, sexually explicit, obscene, pornographic, inappropriate, violent, the sales of weapons, cruelty, abuse, etc.), discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g., underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, or harassing; or contain material that is threatening to any person, place, business, group or world peace; or contain words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation or socioeconomic group; or contain images, words or text portraying nudity, acts of violence, or acts that are or appear to be unlawful or dangerous or in violation of, or contrary to the laws or regulations in any jurisdiction where the entry is created;
Must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity, or intellectual property rights, including but not limited to copyrights. Without limiting the foregoing, the entry must not mention or otherwise include any third party trademarks (other than those of Rhythm and Praise Radio L.A.); and
MUST NOT include any reference to third parties, including but not limited to minors, celebrities and friends, who have not expressly authorized the entrant to do so. Entrant(s) must be prepared to provide signed authorizations by such third parties upon request.

In the event of in-person AUDITION PARTICIPANTS MAY BE REQUIRED, AT SPONSOR’S SOLE DISCRETION, TO SIGN A RELEASE TO BE PROVIDED BY SPONSOR AT THE AUDITIONS. THE AUDITIONS WILL BE FILMED, PHOTOGRAPHED AND AUDIO RECORDED. EACH PARTICIPANT GRANTS SPONSOR AND ITS PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS, THE RIGHT AND PERMISSION TO PUBLISH, BROADCAST, AND USE SUCH FOOTAGE, IMAGES, AND AUDIO RECORDINGS, WORLD WIDE IN ANY MEDIA NOW KNOWN OR HEREAFTER DEVELOPED, INCLUDING BUT NOT LIMITED TO THE WORLD WIDE WEB, AT ANY DAY OR TIME OR TIMES.

By entering, each entrant agrees that his/her/their entry must comply with these Official Rules and, as applicable, Facebook’s, YouTube’s, SoundCloud’s and Host’s website(s) respective terms, conditions and policies, and that Sponsor, in its sole discretion, may reject any entrant’s entry and disqualify him/her/their if Sponsor believes that such entry fails to adhere to the terms and conditions herein, including but not limited to the above guidelines. For those who enter via Facebook Messenger, normal Internet, phone and usage charges imposed by your online or phone service may apply. Further, by entering, each entrant(s) warrants and represents that their entry is completely original, has not been previously won any award, does not contain any material that would defame or otherwise violate or infringe upon the rights of Sponsor or any third party, including patents, copyrights, trademarks and rights of privacy and publicity, and will not violate any federal, state or local laws or ordinances. Entrant(s) further warrant and represent that they own all rights in and to the audio

submitted/performed, have secured the requisite consent from any third party referenced in their entry. Sponsor reserves the right in its sole and unfettered discretion to disqualify any entry that it believes contains obscene, offensive or inappropriate content, that does not comply with these Official Rules or that is not consistent with the spirit or theme of the Competition.

Automated or bulk entries or entries submitted by third parties will be disqualified. Entries must be submitted by the entrant. Any attempt by any participant to obtain more than the stated number of entries by using multiple and/or different identities, forms, accounts, registrations, email addresses, logins, or any other methods will void that participant’s entries, and that participant may be disqualified in Sponsor’s sole discretion. For entry via Facebook Messenger, multiple participants are not permitted to share the same Facebook Messenger account. In the event of a dispute as to any entry through Facebook Messenger, the authorized account holder of the Facebook Messenger account used to submit the entry will be deemed to be the entrant. The “authorized account holder” is the natural person assigned the account by Facebook. Potential winners may be required to show proof of being the authorized account holder to the Sponsor or will be disqualified. Entries from an invalid, non-working, or inactive Facebook Messenger account will be disqualified and ineligible to win. Incomplete, illegible, corrupted, or untimely entries are void and will be disqualified.

SELECTION AND VERIFICATION OF SEMI FINALIST ROUND 1-9 AND GRAND PRIZE WINNER:

VIA RHYTHMANDPRAISELA.COM. The hyperlinks to audio that entrant(s) submit via RhythmandPraiseLA.com will be viewable to followers of Sponsor. Those followers will have the opportunity to like/vote and or comment on each entrant(s) submission. The entrant(s) (1) One with the total number

of likes/votes from viewers, followers, and the curators of Rhythm and Praise Radio L.A. will be given the opportunity to host R&P Live!, for (4) four consecutive shows. These Entrants will be considered Rhythm and Praise Radio L.A.’s, semi-finalists and entered into the final round for an opportunity to win the grand prize.

At the conclusion of the Rhythm and Praise Radio L.A. R&P Live! Gospel’s Next Radio Voice Competition Period, the (9) Nine semi-final entrants will be entered as finalists and will move on to the final round of the Competition- the Grand Final. In the event of a tie between unique entrants the entrant whose entry has the highest number of likes/votes among the tied entries will be selected as the finalist, and in the event of a tie in the number of likes/votes, Sponsor will judge the entries based on overall appeal and select the finalist in its sole discretion.

Entrants are prohibited from obtaining likes/votes by any fraudulent or inappropriate means, including, without limitation, offering consideration (including, but not limited to, money and prizes) or other inducements to prospective raters, as determined by Sponsor in its sole discretion. Use of script, macro or any automated system to like/vote audio submissions or with the intent to impair the integrity of the like/vote process is prohibited and all such likes/votes will be void. Sponsor reserves the right, in its sole and unfettered discretion, to nullify all likes/votes obtained via such means and to disqualify responsible entrants from further participation in the competition.

EXCEPT WHERE LEGALLY PROHIBITED, EACH FINALIST MAY BE REQUIRED TO SIGN AND RETURN, WITHIN 24-48 HOURS OF BEING NOTIFIED (AS DETERMINED BY

SPONSOR IN ITS SOLE DISCRETION), AN AFFIDAVIT OF ELIGIBILITY, LIABILITY AND PUBLICITY RELEASE (THE “AFFIDAVIT”), AND ANY OTHER DOCUMENTATION AS REQUIRED BY SPONSOR. If (i), a finalist fails to sign and return the Affidavit within the required time period (if applicable), or (ii) a finalist is disqualified for any reason, Sponsor reserves the right to disqualify that finalist and select the next highest scoring likes/votes entrant from the applicable pool of entries (i.e., entries from the semi-finalist pool, as applicable) as the finalist.

GRAND FINAL

All eligible entrant(s) selected as finalists via VIA RHYTHMANDPRAISE L.A.COM will have have an additional 14 days of voting December 1st, 2021 at 1:00 AM PST and end December 14th, 11:59 PM PST. The winner of Rhythm and Praise Radio L.A. R&P Live!, Gospel’s Next Radio Voice will be announced at or near December 15th, 2021 @ 12:00 PM PST on original air and via all Rhythm and Praise Radio Social Media.

AT SPONSOR’S SOLE DISCRETION, EACH FINALIST MAY BE REQUIRED TO PROVIDE TO SPONSOR THE FINALIST’S SOCIAL MEDIA HANDLES ON SPECIFIED SOCIAL MEDIA PLATFORMS FOR CONSIDERATION IN JUDGING THE FINALIST’S SOCIAL MEDIA INFLUENCE AS PART OF THE JUDGING CRITERIA SET FORTH BELOW.

The judging panel will select a potential winner from all Entrant(s) based on (i) audio skill and creativity, (ii) style, (iii) showmanship, (iv) voice and (v) social media influence. The potential winner will be announced at the conclusion of each round. Round 1-9 winners will be entered for the Grand Final round of the Competition.

TO BE DEEMED THE COMPETITION WINNER, THE POTENTIAL WINNER MUST BE AVAILABLE, ON DATES AND AT TIMES TO BE DETERMINED BY SPONSOR IN ITS SOLE DISCRETION, TO PARTICIPATE IN RECORDING (THE “RECORDING SESSION”) FOR A DIGITAL AUDIO SERIES TO BE DISTRIBUTED BY SPONSOR.

EXCEPT WHERE LEGALLY PROHIBITED, POTENTIAL WINNER WILL BE REQUIRED TO SIGN AND RETURN, WITHIN 24-48 HOURS OF BEING NOTIFIED (AS DETERMINED BY SPONSOR IN ITS SOLE DISCRETION), AN AFFIDAVIT OF ELIGIBILITY, LIABILITY AND PUBLICITY RELEASE (THE “AFFIDAVIT”). If (i) a potential winner is not available, on the dates and at the times determined by Sponsor in its sole discretion, to participate in the Audio recording, (ii) a potential winner fails to sign and return the Affidavit within the required time period (if applicable), or (ii) a potential winner is disqualified for any reason, Sponsor reserves the right to disqualify that potential winner and select the finalist with the next highest score from the Finalist Competition judging panel as a potential winner.

Verification of Potential Winners: All potential WINNERS are subject to verification by Sponsor, whose decisions are final AND BINDING IN ALL MATTERS RELATED TO THE Competition. An entrant is not a winner unless and until entrant’s eligibility HAS been verified and entrant has been notified that verification is complete.

PRIZES:

Grand Finalist Prize: (1) One Grand finalist prize is available to be awarded in this Competition. The winner of Rhythm and Praise Radio L.A. R&P Live!, Gospel’s Next Voice will be offered an opportunity to host their own weekly show on Rhythm and Praise Radio L.A. powered by Dash. Sponsor reserves the right to substitute winner at Sponsor’s sole discretion if the winner does not meet the competition criteria.

Grand Finalist winner will also receive an air check produced by Rhythm and Praise Radio L.A. Curators ThoseBaxters and Emcee N.I.C.E.

Prize Restrictions: SPONSOR IS NOT RESPONSIBLE FOR ANY POTENTIAL AGREEMENT BETWEEN THE WINNER (OR ANY OTHER COMPETITION PARTICIPANT) AND ANY EXISTING AGREEMENT WITH ANY OTHER BROADCASTING COMPANY. Prize cannot be substituted, assigned, transferred, or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at its sole discretion. Only the number of prizes stated in these Official Rules is available to be won in the Competition.

Each finalist must abide by all policies, rules, and regulations of Rhythm and Praise Radio L.A.

Sponsor reserves the right to revoke all or part of the prize with no further obligations or compensation whatsoever to the finalist. In the event a finalist, in the course of using the prize, engages in behavior that is illegal, tortious, or subjects a finalist to arrest or detention, none of the audio releases shall have any obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by the finalist as a result of such conduct.

GENERAL CONDITIONS: Participation constitutes entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Competition. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected, or illegible entries; lost, interrupted, or unavailable network, server, or other connections, garbled transmissions or miscommunications, telephone transmission problems; computer or

software malfunctions or damage to a user’s computer equipment (software or hardware); technical failures; or other errors or malfunctions of any kind whether human, mechanical, electronic, or otherwise. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS COMPETITION OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be attempting to tamper with or undermine the entry process, any website associated with the Competition, and/or the legitimate operation of the Competition; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten, or harass any other person. Sponsor reserves the right to modify the Competition at any time in its sole discretion. If, for any reason, the Competition is not capable of running as planned, Sponsor may, in its sole discretion, (a) cancel or terminate the Competition (or any portion thereof); (b) void any suspect entries; (c) modify the Competition or suspend the Competition to address the impairment and then resume the Competition in a manner that best conforms to the spirit of these Official Rules; and/or (d) select a winner (in Sponsor’s sole discretion) from among the eligible, non-suspect entries received up to the time of the impairment.

LIMITATIONS OF LIABILITY AND RELEASES: BY PARTICIPATING IN THIS COMPETITION, ENTRANT AGREES THAT SPONSOR, FACEBOOK, INC., ALPHABET INC., SOUNDCLOUD INC. AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES,

REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING, PUBLIC RELATIONS, PROMOTIONAL, FULFILLMENT AND MARKETING, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS (THE “SPONSORS”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM PARTICIPATION IN THIS Competition OR IN ANY COMPETITION RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF ANY PORTION OF THIS COMPETITION CANNOT BE ADMINISTERED AS PLANNED (AS DETERMINED BY SPONSOR IN ITS SOLE DISCRETION) DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS DUE TO ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, OR TERRORISM. BY PARTICIPATING IN THIS COMPETITION, ENTRANT AGREES THAT THE SPONSORS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO

PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS Competition OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE.

HANDLES/USER NAMES AND BIOGRAPHICAL INFORMATION (INCLUDING BUT NOT LIMITED TO HOMETOWN AND STATE) FOR ADVERTISING, TRADE, AND PROMOTIONAL PURPOSES (INCLUDING THE ANNOUNCEMENT OF HIS OR HER NAME ON TELEVISION OR RADIO BROADCAST) WITHOUT ADDITIONAL CONSIDERATION, COMPENSATION, PERMISSION, OR NOTIFICATION.

DISPUTES. Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Competition shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Federal or state court located in

LOS ANGELES, CA; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Competition, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
